MatchBox Consulting Group is currently seeking an exceptional In-House Legal Counsel to join our team in Vancouver, BC. Our client is a successful Canadian mining company that specializes in the production of silver, lead, and zinc metals. Renowned for their unwavering commitment to maintaining exemplary safety and environmental standards, as well as their active support of local community initiatives, our client offers an exceptional opportunity for the right candidate. Primary Responsibilities:

1. Provide timely, proactive, and solution-oriented legal advice on a diverse range of corporate, commercial, securities, and other legal matters to all business units, the executive team, and the board.
2. Negotiate, draft, review, and provide legal advice pertaining to various agreements involving our company and its affiliates.
3. Assist in the preparation and review of public disclosure materials, including financial statements, MD&A, annual information forms, term sheets, and news releases as necessary.
4. Manage transactions, including mergers and acquisitions (M&A) and financings, by engaging in negotiations, drafting legal documents and contracts, and overseeing due diligence processes.
5. Stay abreast of changes in applicable securities laws and regulatory requirements to ensure ongoing compliance.
6. Ensure compliance with all regulatory matters, with a specific focus on securities law compliance.
7. Collaborate closely with the corporate development team on potential transactions, conducting legal research, and performing risk analysis.
8. Prepare and provide support for board and committee meetings.
9. Oversee the preparation, maintenance, and accuracy of corporate documents, filings, registrations, and corporate records books.
10. Manage corporate governance policies and procedures.
11. Coordinate and maintain effective communication with external counsel as required.
12. Undertake additional duties as assigned.

Requirements:

1. Possess a law degree from a recognized law school.
2. Be a member in good standing with the Law Society of British Columbia.
3. Have 3-5 years of experience at a top-tier law firm or within the legal department of a reputable company.
4. Demonstrate extensive knowledge of securities laws and transactional laws.
5. Exhibit the ability to work on a broad range of legal topics and adapt to changing priorities.
6. Display excellent written, verbal communication, and presentation skills.
7. Demonstrate sound judgment and strong analytical skills.
8. Prior experience with public companies is highly valued, while dual listing experience on the TSX and NYSE is considered an asset.

Additional Desired Qualifications:

1. Familiarity with the legal aspects of publicly traded mining companies.
2. Proficiency in the Spanish language is considered a strong asset.
